These Terms of Service (“Terms”) govern your use of the website and client portal operated by Sunshine Bookkeepers Inc (“Sunshine Bookkeepers,” “we,” “us,” or “our”). By accessing or using our website or portal, you agree to these Terms. If you do not agree, please do not use the site.
1. About Our Services
Our website provides general information about our bookkeeping and tax preparation services. Our secure client portal allows clients to share documents, complete forms, review proposals and agreements, and access information related to their engagement. The website and portal are tools that support our services; they are not the services themselves.
2. No Professional Advice; No Engagement Formed by Use
Information presented on our website is general in nature and is provided for informational purposes only. It does not constitute tax, accounting, financial, or legal advice, and it should not be relied upon as a substitute for professional advice tailored to your situation.
Using this website, requesting a consultation, or contacting us does not by itself create a client relationship. A client relationship is formed only when both you and Sunshine Bookkeepers enter into a signed Engagement Agreement.
3. The Engagement Agreement Controls
The specific services we provide, their scope, fees, billing terms, and engagement period are governed by the separate Engagement Agreement you sign with us. If anything in these Terms conflicts with your signed Engagement Agreement regarding the services, the Engagement Agreement controls. These Terms govern your general use of the website and portal.
4. Client Portal & Account Security
If you are given access to the client portal, you agree to:
- Keep your login credentials confidential and enable the multi-factor authentication (MFA) we require;
- Provide accurate, current, and complete information;
- Promptly notify us of any unauthorized use of your account or any other security concern;
- Be responsible for activity that occurs under your account.
Portal accounts are provided by invitation for our clients and may not be shared. We may suspend or revoke access to protect the security of your information or our systems.
5. Acceptable Use
When using our website or portal, you agree not to:
- Upload unlawful, infringing, or malicious content;
- Attempt to gain unauthorized access to any account, system, or data;
- Interfere with or disrupt the integrity or performance of the site;
- Use the site to transmit information that is not yours to share, or in violation of any applicable law.
6. Fees & Payment
Fees for our services are set out in your proposal and Engagement Agreement. Invoicing, payment terms, late charges, and cancellation are governed by that agreement. The website and portal do not change those terms.
7. Intellectual Property
The content, design, logos, and materials on this website are owned by Sunshine Bookkeepers Inc and are protected by applicable intellectual property laws. You may not copy, reproduce, or distribute our content without our permission. Documents and information you upload remain yours; you grant us permission to use them solely to provide our services to you.
8. Confidentiality & Privacy
We treat your information as confidential and handle it in accordance with our Privacy Policy, the FTC Safeguards Rule, IRS data-protection standards, and applicable law. Please review the Privacy Policy to understand how we collect, use, and protect your information.

Any liability relating to the services we provide is governed by, and limited as set out in, your Engagement Agreement.
12. Indemnification
You agree to indemnify and hold harmless Sunshine Bookkeepers Inc from claims, losses, or expenses arising out of your misuse of the website or portal or your violation of these Terms.
13. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute relating to these Terms or your use of the website will be subject to the exclusive jurisdiction of the state and federal courts located in Florida, unless your Engagement Agreement provides otherwise.
14. Termination
We may suspend or terminate your access to the website or portal at any time if we believe you have violated these Terms or to protect the security of our systems or other clients. Provisions that by their nature should survive termination (such as intellectual property, disclaimers, and limitation of liability) will continue to apply.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Effective date” above and post the updated version on this page. Your continued use of the website after changes take effect constitutes acceptance of the revised Terms.
